ProCards AI Terms and Conditions

Effective date: 2025-12-28

These Terms and Conditions ("Terms") govern your use of the ProCards AI mobile application, related services, and any associated websites that link to these Terms (collectively, the "Service"). By accessing or using the Service, you agree to these Terms.

If you do not agree, do not use the Service.

1) Eligibility and accounts

You must be at least the minimum age required in your jurisdiction to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

You agree to provide accurate information and to keep it up to date.

2) The Service

ProCards helps you organize and manage trading card information, including creating and maintaining a collection, uploading card images for scanning features (if available), and viewing related insights.

We may modify, suspend, or discontinue parts of the Service at any time.

3) User content and uploads

You may be able to upload content to the Service, such as images of trading cards and collection notes ("User Content").

You retain ownership of your User Content. However, you grant ProCards a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, and display your User Content solely to operate, improve, and provide the Service (for example, storing your card images, generating scans, and syncing your collection).

You represent and warrant that you have the rights necessary to upload your User Content and that it does not violate any law or infringe any third-party rights.

You acknowledge that ProCards AI does not verify the accuracy, legality, or ownership of User Content. You are solely responsible for your User Content and any consequences arising from its use, disclosure, or publication.

4) Acceptable use

You agree not to:

  • misuse the Service or interfere with its operation;
  • attempt to gain unauthorized access to accounts, systems, or networks;
  • reverse engineer, decompile, or attempt to extract source code (except to the extent permitted by law);
  • use the Service for unlawful, harmful, or abusive purposes; or
  • upload malware or harmful code.

We may suspend or terminate your access if we believe you violated these Terms.

5) Subscriptions, trials, and billing (iOS)

Certain features may require a paid subscription ("Premium"). Subscriptions are offered as auto-renewing purchases through the Apple App Store unless otherwise stated.

A. Purchase and renewal

  • Payment will be charged to your Apple ID account at confirmation of purchase.
  • Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period.
  • Your account will be charged for renewal within 24 hours before the end of the current period.

B. Free trials / introductory offers

If a free trial or introductory offer is available, it may apply only to eligible users and may be limited by Apple policies (for example, trials are typically available only once per subscription group). If you start a free trial, the subscription will convert to a paid subscription at the end of the trial unless canceled beforehand.

C. Managing and canceling subscriptions

You can manage or cancel your subscription in your device settings (Apple ID > Subscriptions). Deleting the app does not cancel your subscription.

D. Restoring purchases

If you reinstall the app or switch devices, you may be able to restore purchases using a "Restore Purchases" function (if available).

E. Prices and changes

Subscription prices may change. We will comply with applicable requirements for notifying you of changes.

F. Refunds

Purchases made through the Apple App Store are subject to Apple's payment and refund policies. We cannot issue refunds for App Store purchases.

6) Third-party services and links

The Service may display content from third parties (for example, links to external news articles). Third-party services and content are governed by their own terms and policies. We are not responsible for third-party content, availability, or practices.

7) Disclaimers

A. No warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

B. No financial or investment advice

Any pricing, market information, or other insights are provided for informational purposes only and are not financial, investment, tax, or legal advice. Trading card markets can be volatile, and information may be delayed, incomplete, or inaccurate.

ProCards AI does not guarantee the accuracy, completeness, or timeliness of pricing data, market insights, OCR results, or analytics. Any values, trends, or estimates are provided for informational purposes only and may differ from actual market conditions or realized prices.

C. Data security disclaimer

While ProCards AI implements reasonable administrative, technical, and organizational safeguards designed to protect user data, no system is completely secure. You acknowledge and agree that ProCards AI cannot guarantee absolute security and shall not be responsible or liable for any unauthorized access, hacking, data loss, or data breach, except to the extent required by applicable law.

D. No custody, no fiduciary relationship

ProCards AI does not take physical possession of, custody of, or control over any trading cards or other assets. The Service is a software tool for informational and organizational purposes only. Nothing in these Terms creates any fiduciary duty, bailment, escrow, partnership, agency, or advisory relationship between you and ProCards AI.

8) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROCARDS.AI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE, INCLUDING BUT NOT LIMITED TO:

  • (a) errors, mistakes, or inaccuracies of content or data;
  • (b) unauthorized access to or use of our servers or data;
  • (c) any interruption or cessation of transmission to or from the Service;
  • (d) any bugs, viruses, trojan horses, or the like; or
  • (e) any user content or third-party content.

IN NO EVENT SHALL PROCARDS.AI'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF: (i) THE AMOUNT YOU PAID TO PROCARDS.AI FOR THE SERVICE IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS (US $100).

THE FOREGOING LIMITATIONS APPLY EVEN IF PROCARDS.AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

9) Indemnification

You agree to defend, indemnify, and hold harmless ProCards AI and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • (a) your access to or use of the Service;
  • (b) your User Content, including any images, descriptions, pricing data, or transaction information you upload or submit;
  • (c) any allegation that your User Content infringes, misappropriates, or violates the intellectual property, privacy, or other rights of a third party;
  • (d) your violation of these Terms; or
  • (e) your violation of any applicable law or regulation.

ProCards AI reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with such defense.

10) Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service if we reasonably believe you violated these Terms or if necessary to protect the Service or other users.

Upon termination, your right to use the Service will stop. Certain provisions of these Terms will survive termination, including intellectual property, disclaimers, limitation of liability, and indemnification.

11) Binding Arbitration, Class Action Waiver, and Jury Trial Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

A. Binding Arbitration

Except for small claims court matters or claims for injunctive or equitable relief, any dispute, claim, or controversy arising out of or relating to these Terms or the Service (including privacy or data-related claims) shall be resolved exclusively through final and binding arbitration, rather than in court.

The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will be conducted on an individual basis, and not as a class, consolidated, or representative action. The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement.

B. No Class Actions

YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST PROCARDS.AI ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of representative or class proceeding.

C. Waiver of Jury Trial

To the extent any dispute is not subject to arbitration, YOU AND PROCARDS.AI WAIVE ANY RIGHT TO A JURY TRIAL.

D. Opt-Out

You may opt out of this arbitration agreement by sending written notice to support@procards.ai within 30 days of first accepting these Terms. If you opt out, neither you nor ProCards will be bound by arbitration.

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of laws principles.

12) Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Continued use of the Service after the effective date of updated Terms constitutes acceptance.

13) Force majeure

ProCards AI shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet outages, hosting provider failures, third-party service interruptions, or power failures.

15) Export controls and sanctions

You agree to comply with all applicable export control laws and regulations. You represent that you are not located in, under the control of, or a national or resident of any country subject to U.S. government embargoes or sanctions, and that you are not listed on any U.S. government restricted-party list.

16) Miscellaneous

A. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect.

B. Assignment

You may not assign or transfer these Terms without prior written consent. ProCards AI may assign these Terms without restriction.

C. Entire agreement

These Terms constitute the entire agreement between you and ProCards AI regarding the Service and supersede any prior agreements or understandings.
